Terms of Service

These Terms of Service ("Terms") govern your use of the Recall spaced repetition training platform ("Service"), operated by Recall ("we", "us", or "our"). By installing Recall in your Slack workspace or using the admin dashboard, you agree to these Terms.

1. Description of Service

Recall is a spaced repetition learning platform delivered through Slack. Administrators create question banks, assign them to users or groups, and Recall automatically delivers quiz questions at scientifically optimized intervals via Slack direct messages. An admin dashboard provides analytics, compliance reporting, and content management.

2. Eligibility & Accounts

Recall is intended for use by businesses and organizations. By installing Recall, you represent that you are authorized to act on behalf of your organization and that all users in your workspace are at least 16 years old. You are responsible for maintaining the security of your Slack workspace and admin credentials.

3. Acceptable Use

You agree to use Recall only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service to distribute spam, malware, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' data
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service in a way that violates Slack's Terms of Service or API policies
  • Resell or redistribute the Service without our written permission
  • Upload content that infringes on intellectual property rights of others

4. Content & Intellectual Property

Your content. You retain ownership of all questions, documents, and training materials you create or upload to Recall. You grant us a limited license to host, process, and display your content as necessary to provide the Service.

Our service. Recall and its associated software, design, and branding are owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

AI-generated content. Questions generated by our AI feature are created from your source materials. You are responsible for reviewing AI-generated questions for accuracy before assigning them to learners.

5. Payment & Billing

Certain features of Recall may require a paid subscription. Pricing, billing frequency, and payment terms are presented at the time of purchase. All fees are non-refundable except as required by law or as explicitly stated in a separate agreement. We reserve the right to change pricing with 30 days' notice.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from service downtime.

7. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by law, Recall and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Recall from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your content, or your violation of these Terms.

10. Termination

You may stop using Recall at any time by uninstalling the Slack app. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

11. Changes to These Terms

We may update these Terms from time to time. We will notify workspace administrators of material changes via Slack or email at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
